McKesson’s well regarded General Counsel Organization is seeking an experienced securities, corporate governance and corporate transactions attorney. This is a rare opportunity to work across the corporation and gain experience and knowledge of our many businesses. The Chief Counsel, Securities & Corporate will report to the SVP, Corporate Secretary & Associate General Counsel, and will be a member of the Corporate, Governance and Transactions legal team.

Securities (60%)

  • Asprimary securities and SEC disclosure counsel, advise on a wide range ofsecurities law matters

  • Serveas legal lead for 10-Ks, 10-Qs, and 8-Ks, partnering closely with CorporateFinancial Reporting

  • Serve as legallead for some capital markets transactions

  • Collaborate with Finance,Accounting, IR and Communications teams on external communications, such asearnings releases and press releases

  • Designand provide training to internal teams, and develop and implement new processesand procedures relating to securities law matters

Corporate Governance (20%)

  • Assist with corporategovernance matters, including the preparation of Board and Committee materials,policies, and other special projects

M&A, JVs, Other Corporate Transactions (20%)

  • When bandwidthpermits, serve as lead attorney for some transactions, advising our executiveson legal risks, collaborating with functions across the enterprise and draftingand negotiating deal documentation. Secondchair larger transactions.

Requirements

  • 12 years securities, governance and transactional experience

  • Large law firm experience required; in-house experience highly preferred

Critical Skills

  • Depth of legal knowledge relating to the 1933 Act, 1934 Act, NYSE rules and DE corporate law

  • Familiarity with specialized areas that arise frequently in M&A and other transactions (e.g., corporate tax, employee benefits, employment matters, executive compensation, antitrust, and securities)

  • Proactive, solution-oriented approach

  • Excellent business judgment and strategic thinking

  • Ability to work independently and collaboratively in a collegial, fast-paced team environment

  • Comfort in advising and interacting with senior executives and business unit leaders

  • Ability to work closely with, facilitate interactions within, and influence large cross-functional teams (including representatives from law, tax, accounting, regulatory, compliance, operations, human resources, real estate, treasury and communications)

  • Ability to manage external counsel efficiently

  • Agility in managing multiple projects in an efficient and timely manner

  • Outstanding verbal and written communication skills, and attention to detail

  • Superior drafting and negotiation skills

Education

Juris Doctor Degree with excellent academic credentials. Member of a state bar in good standing.
