Position Description

The Mergers & Acquisitions Director – Total Rewards role is responsible for managing merger, acquisition and divestiture activities related to Compensation and Benefits. He/she will be the Total Rewards M&A lead throughout the process, from due diligence through integration of employees onto McKesson programs. This individual contributor will work in a team environment as a key member of the M&A cross functional team, which includes corporate strategy, Finance, Accounting, Legal, HR, HRIT, and BU integration teams and external partners.

Key Responsibilities:

All responsibilities are across the full spectrum of total rewards programs: Executive Broad-based Compensation, Benefits and Retirement.

  • Lead Total Rewards due diligence, integration planning and guide execution of merger, acquisition and divestiture transactions

  • Particular emphasis on change in control provisions (280g, 409A)

  • Evaluation all liabilities associated with employee programs

  • Designing leveling/organizational architecture integration

  • Validation of synergy and cost assumptions as it pertains to human capital

  • Support management and employee communications and training materials as they relate to compensation and benefits

  • Prepare side by side comparison of programs including cost comparisons in partnership with TR COE, legal counsel and/or consultants

  • Prepare recommendations and ensure recommendations align to corporate philosophy and follow governance procedures

  • Responsible for integration planning and budget and partnering with shared service to execute integration plan

  • Support compensation consultants with leveling positions, workforce classifications and job evaluations

  • Assist with Total Rewards global opportunities as necessary

  • Develop and manage centralized resources and toolkits

  • Continually refine best practices to improve efficiency of integration

  • Must be able to travel 25% (domestic and international)

Minimum Requirements

10 years compensation experience including 7 years managerial experience

Critical Skills

  • 4 years M&A Transactions experience including large scale change management

  • 10 years Compensation, Benefits, and Total Rewards experience in a large global company with multiple locations and business units.

  • Knowledge of Executive Compensation

  • Demonstrated analytical and problem-solving skills, including Excel and PowerPoint skills.

  • Team oriented and ability to build relationships and trust at all levels of an organization and across functions

  • Ability to handle many time-sensitive projects and work independently

Additional Knowledge & Skills

  • Strong organizational skills and project management experience required

  • Drives for commitment and collaboration, even in times of transition / change

  • Strong verbal and written communication skills

Education

4-year degree in HR, Business, or related field or equivalent experience
